The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. Termination/Access Restriction

To the maximum extent permitted by law, this agreement is governed by the laws of the Commonwealth of Kentucky and you hereby consent to the exclusive jurisdiction and venue of courts in Kentucky in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and W.E. as a result of this agreement or use of the Site. W.E.’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of W.E.’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by W.E. with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and W.E. with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and W.E. with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Contractor Agreement
For the purposes of this Contractor Agreement, unless otherwise noted, all references to The Electrical Contractor include: Woodford Electric, LLC, https://www.woodfordwired.com/ and W.E..
Woodford Electric respectfully informs all clients of this agreement in conjunction with electrical work to be performed at the referenced project(s). Any work accepted and preformed for a client will be held to this agreement. This contract is based entirely upon any plans, specifications or change orders made during a job until its completion. Any and all additional items that need to be added to said project, whether required by code or otherwise, will be considered a change order and will be subject to additional costs. W.E. reserves the right, in its sole discretion, to change the terms under which this contractor agreement is offered. The most current version of the terms will supersede all previous versions. W.E. encourages you to periodically review the contractor agreement to stay informed of our updates.
Not only can the agreement be found on https://woodfordwired.com/privacy-policy/, customers will also be supplied a copy of the terms prior to each job either electronically or physically.
We want to express our appreciation for considering Woodford Electric to handle your electrical needs. We take great pride in delivering you a quality, stress free installation. Below are the terms, conditions and details as to what will be included in your bid and what to expect as work commences.

- Prices are firm until 60 days after the submission of any proposal.
- Homeowner consultations pertaining to electrical changes, options or additions, not specified on the original building plan have not been included.
- Sweeping of the home has been included, provided that the home is left in a broom swept condition by the previous trade or homeowner.
- Blueprint locations are to be used as a guideline, but field conditions determine final locations.
- The Electrical Contractor will cut holes in walls and ceilings as needed in order to complete the required work.
- The Electrical Contractor is not responsible for repairing any holes that were made in the walls and ceiling.
- Owner/Contractor will be in default if any payment called for under this agreement and all authorized change orders becomes past due, if any written agreement made by the Owner/Contractor is not promptly performed, if any conditions warranted by the Owner/Contractor prove to be untrue, or the failure of the Owner/Contractor to comply with any of the conditions of this agreement. In the event of the Owner/Contractor default, the Electrical Contractor may:
1) Suspend work and remove uninstalled Electrical Contractor’s material or equipment from the premises. The owner/contractor agrees that Electrical Contractor may enter upon owner/contractor property for the purpose of repossessing such material or equipment without liability to owner/contractor for trespassing or any other reason.
2) The Electrical Contractor may retain all money paid hereunder, regardless of the stage of completion of the work and bring any appropriate action in court to enforce its rights.
3) The owner/contractor agrees to pay all costs and fees (including fees incurred in connection with appeals) incurred by the Electrical Contractor in enforcing his rights under this proposal. - The Electrical Contractor shall not be liable for failure to perform if prevented by strikes or other labor disputes, accidents, acts of god, governmental or municipal regulation or interference, shortages of labor or materials, delays in transportation, non-availability of the same from manufacturer or supplier, or other causes beyond the Electrical Contractor’s control. In no event shall the Electrical Contractor be liable for special or consequential damages whatsoever or however caused.
- This agreement includes the installation of fixtures furnished by others, if fixtures are on the job at the time of the electrical trim out. The Electrical Contractor shall not be responsible for owner supplied fixtures due to losses related to theft, damage, vandalism, warranty, or any associated storage expenses. This agreement does not include: 1) Warranty of fixtures supplied by others. 2) Assembly of fixtures supplied by others. 3) Fixtures weighing more than 50 pounds.
- Any payments not received within 30 days of invoice date should be considered past due and will accrue an additional interest charge at 9.1% per month of the unpaid balance until paid in full. No work shall be performed (including warranty) if any invoice is past due (including change orders). In addition, no release of lien shall be signed unless all payments are paid in full.
- Customer agrees to pay a service charge of $25.00 each time a check is returned to the Electrical Contractor.
- Notwithstanding any provision herein to the contrary, in the event that, during the performance of this agreement, the price of copper wire and cables, aluminum wire and cables, steel conduit and/or any other necessary commodities significantly increases, through no fault of the electrical contractor, the price of any materials, components, or goods to be furnished under this agreement shall be equitably adjusted by an amount reasonably necessary to cover any such significant price increases. As used herein, a significant price increase shall mean any increase in price exceeding three percent (3%) experienced by the electrical contractor from the date of the execution of this agreement. Such price increases shall be documented through commercial quotes, invoices, receipts or other such documentation. Where the delivery of materials, components, or goods required under this agreement is delayed, through no fault of the electrical contractor, as a result of the shortage or unavailability of commodities, raw materials, components and/or products, the electrical contractor shall not be liable for any additional costs or damages associated with such delay(s).
- This proposal is based entirely upon the plans and specifications. Any and all additional items that need to be added, whether required by code or otherwise, are not included in this proposal. Any items added to this contract shall be priced according to the attached standard option price list. Such items shall be invoiced upon substantial completion of the rough-in phase.
- Electrical installation shall meet the National Electrical Code and local electrical codes. Errors in design by the architect and/or engineer in the blueprints or specifications are not the responsibility of the Electrical Contractor. Any additional electrical work required by others/performed by others and not included on blueprints and specifications shall not be part of this agreement.
- Equipment supplied by other trades shall not be required to be installed by the Electrical Contractor. The Electrical Contractor shall not be responsible for owner-supplied equipment due to losses related to theft, damage, vandalism, warranty, or any associated storage expenses. This agreement does not include: 1) Warranty of equipment supplied by others. 2) Assembly of equipment supplied by others.
- Our pricing structure is based upon payment of invoices within thirty (30) days.
- This proposal does not include the cost of trash removal, concrete, forming, painting, patching, trenching, core drilling, venting and sealing of roof penetrations. All waste created by the Electrical Contractor will be removed to a specific area on the construction site as instructed by the owner/contractor.
- Woodford Electric shall not be responsible for any damages attributed to trenching, drilling, or ground penetrations made by hired subcontractors. 811 will be contacted and is required to complete their survey of public lines before work begins. Any unmarked private lines that are subjected to damages due to the excavation will be the owner/contractors responsibility and/or the subcontractors.
- All material and equipment supplied by the Electrical Contractor shall be warranted by the manufacturer and will be installed in a manner consistent with standard practices at this time.
- Warranty shall only apply to the electrical installation of the material, fixtures, equipment, and other items supplied by the Electrical Contractor. Warranty shall not apply to material, fixtures, equipment, and other items supplied by others. Warranty shall not apply to extensions or additions to the original installation if made by others.
- Each model has been priced “per plan” and “per value engineering”. “Per plan” pricing reflects exactly what is shown on the blueprints. As an added service to you, our valued customer, we have also value engineered the electrical layouts to provide the most cost-effective, yet code specific, layouts possible. Devices have been added to meet the requirements of the National Electrical Code (NEC) and all applicable local amendments. Devices have also been eliminated and/or relocated in order to lower your cost while still maintaining the industry standard for electrical design.
- All fixtures and lamps, except as noted, are furnished and installed by Woodford Electric.
- Bathroom convenience outlets with ground-fault circuit interruption (GFCI) protection are included.
- Kitchen outlets with ground-fault circuit interruption (GFCI) protection (within six feet of sink) are included.
By agreeing to any work being performed by Woodford Electric, LLC, I have read this document, including all attachments, and accept everything in its entirety. I understand that upon signing and/or agreeing to work being preformed this proposal and all attachments, becomes a legally binding contract.
